Terms and Conditions of Sale

These Terms and Conditions of Sale ("Terms") govern the supply of materials and products (including but not limited to laminate, flooring, doors, marble, and related building materials) by JDD Developers LTD ("JDD", "we", "us", "our") to any client, developer, architect, or trade customer ("Client", "you") who places an order with us.

By accepting a quotation, placing an order, or accepting delivery of goods from JDD, you agree to be bound by these Terms, unless otherwise expressly agreed in writing between JDD and the Client.

1. Quotations and orders

• All quotations issued by JDD are valid for the period stated on the quotation. Where no period is stated, quotations are valid for 30 days from the date of issue.
• Prices, specifications, and availability are subject to change without prior notice until a quotation has been formally accepted by the Client.
• An order is only considered confirmed once JDD has issued written confirmation (e.g. via email or formal order confirmation) following the Client's acceptance of a quotation.
• Bulk pricing, custom specifications, and project-specific terms may be agreed separately in writing and will take precedence over these general Terms where they conflict.

2. Pricing and payment

• Prices are quoted in the currency stated on the relevant quotation and, unless otherwise stated, exclude VAT and any applicable import or customs duties.
• Payment terms (e.g. deposit and balance, payment on delivery, or invoice terms) will be specified on each individual quotation or order confirmation and may vary depending on the Client, order size, and project. Where no specific payment terms are agreed, payment is due in full prior to delivery.
• Late payments may be subject to interest at a rate of [insert rate] from the due date until payment is received in full, in accordance with applicable Cyprus law.
• JDD reserves the right to withhold delivery of any order where payment terms have not been met.

3. Delivery

• JDD is responsible for arranging delivery of ordered materials to the agreed delivery location, unless otherwise stated on the quotation.
• Estimated lead times and delivery dates provided by JDD are given in good faith but are not guaranteed; JDD is not liable for delays caused by circumstances beyond its reasonable control (see Section 8, Force Majeure).
• Risk in the goods passes to the Client upon delivery to the agreed location. From that point, the Client is responsible for the safekeeping and condition of the goods.
• The Client is responsible for ensuring suitable access and conditions at the delivery site to receive the goods. Additional costs arising from failed or delayed delivery attempts due to site access issues may be charged to the Client.

4. Retention of title

• Notwithstanding delivery and the passing of risk in the goods, ownership (title) of the goods remains with JDD until full payment has been received for those goods.
• Until title passes, the Client must store the goods separately from other stock where reasonably practicable and must not resell, alter, or dispose of the goods in a way that would prejudice JDD's ownership rights, except in the ordinary course of the Client's business.

5. Product specifications and natural material variation

• Measurements, colors, and finishes shown on our website, in catalogs, or in samples are as accurate as reasonably possible but may vary slightly from the goods actually supplied, particularly for natural materials such as marble, where variation in veining, tone, and pattern is inherent and expected.
• Minor variations of this kind do not constitute a defect and do not entitle the Client to reject the goods, unless the variation is materially inconsistent with an agreed sample or specification.

6. Warranties and claims

• JDD warrants that goods supplied will materially conform to the specification agreed in the relevant quotation or order confirmation at the time of delivery.
• Any claim regarding shortage, damage, or non-conformity of goods must be notified to JDD in writing within [insert number] days of delivery, along with reasonable supporting evidence (e.g. photographs).
• Claims not raised within this period may not be accepted, except where the defect could not reasonably have been discovered within that time.
• JDD's liability for a valid claim is limited, at JDD's discretion, to repair, replacement, or refund of the affected goods.

7. Limitation of liability

• To the fullest extent permitted by law, JDD's total liability arising from any single order shall not exceed the total value of that order.
• JDD is not liable for indirect or consequential losses, including but not limited to loss of profit, loss of business, or project delay costs, arising from the supply of goods, except where such liability cannot be excluded under applicable law.
• Nothing in these Terms limits liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

8. Force majeure

JDD is not liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including but not limited to natural disasters, transport disruptions, supplier delays, customs delays, or other events of force majeure.

9. Cancellations and returns

• Cancellation of a confirmed order is subject to JDD's agreement and may be subject to a cancellation charge to cover costs already incurred (e.g. materials ordered from suppliers, custom cutting, or transport arrangements already made).
• Custom or made-to-order items are generally non-returnable and non-cancellable once production or procurement has commenced, unless otherwise agreed in writing.
• Standard stock items may be returned only with JDD's prior written agreement and may be subject to a restocking fee.

10. Governing law and jurisdiction

These Terms and any order or contract formed under them are governed by the laws of the Republic of Cyprus. Any disputes arising from these Terms or any related order shall be subject to the exclusive jurisdiction of the courts of Cyprus.

11. Changes to these Terms

JDD may update these Terms and Conditions of Sale from time to time. The Terms applicable to a given order are those in effect at the time the relevant quotation was issued, unless otherwise agreed in writing.
